1. Document Control

2. Definitions

"HonorBox," "we," "our," and "us" means Marcus Coffman DBA HonorBox. "Merchant," "you," and "your" means the business account holder and its authorized users. "Services" means the HonorBox software platform, including dashboard, Design Studio, kiosk, catalog/reporting, expenses, Business Advisor, settings, and related APIs. "Processor" means Stripe and Stripe-affiliated products used for eligible payment processing.

3. Acceptance

By creating an account, accepting a legal bundle, or using the Services, you agree to these Terms and the linked Privacy Policy, Payments & Billing Policy, Merchant Agreement, and Security & Acceptable Use Policy.

4. Eligibility

HonorBox is intended for adults and business operators. You must be at least 18 years old, legally capable of entering a binding agreement, and (when acting for an organization) authorized to bind that organization. HonorBox is not directed to children.

5. Platform Role

HonorBox provides software. HonorBox is not a bank, card network, money transmitter, or payment processor, and does not become the seller of Merchant goods/services merely because checkout is facilitated through the software. Merchants remain the seller/operator of their business.

6. Accounts and Security

You must provide accurate information and safeguard credentials. Promptly report suspected unauthorized access. HonorBox maintains commercially reasonable platform safeguards. Security incidents are not automatically presumed to be the Merchant’s fault.

7. Subscription Access

Full HonorBox access requires an eligible subscription. New merchants may start with a 30-day free trial (payment method collected at checkout). After the trial, the subscription continues at the monthly subscription price disclosed at the time of signup unless canceled before the trial ends. Merchants pay the price disclosed at purchase or renewal, including any promotional terms then disclosed. Standard pricing may change; promotional pricing may have separately disclosed duration and conditions.

8. Price Increases

For existing Merchants, HonorBox will provide at least 90 days’ advance notice in-app and by email before a subscription price increase applies. The increased price applies only to an appropriate future renewal after that notice period.

9. Cancellation of Subscription

Canceling a subscription stops future renewal. It does not immediately terminate already-paid access. For a free trial, canceling before the trial ends stops conversion to paid monthly billing under Stripe’s cancellation timing for that subscription. For a paid period, access generally continues through the paid-through date, then ends when the paid period expires. Cancellation alone does not delete the account.

10. Subscription Refunds

HonorBox software subscription fees are final and non-refundable, except where required by applicable law.

11. Failed or Inactive Subscription Payment

If subscription payment fails, is reversed, expires, or otherwise becomes inactive, HonorBox may suspend paid dashboard/service access until the subscription is brought current. Failed payment does not itself delete the account or data. Restoring an eligible active subscription restores eligible paid access.

12. Voluntary Account Deletion

Account deletion is separate from subscription cancellation. From Settings → Account → Privacy & Account Deletion, a Merchant may schedule permanent deletion. HonorBox schedules deletion for 7 days after confirmation and displays the scheduled date. Any successful sign-in before that deadline automatically cancels the pending deletion; the Merchant must request deletion again if still desired. If the Merchant does not successfully sign in before the deadline, permanent deletion proceeds. Once permanent deletion completes, it cannot simply be undone. During the 7-day grace period, the subscription relationship remains unchanged. When permanent deletion executes, HonorBox will cancel future HonorBox subscription renewals as part of that lifecycle so the deleted Merchant is not charged future renewals.

13. Inactive Accounts

HonorBox may initiate inactivity-deletion procedures after prolonged subscription inactivity (currently measured as 12 consecutive months), subject to required advance notice and available notice-delivery mechanisms. Permanent inactivity deletion does not proceed unless required notice has been successfully delivered through a configured notice channel. If a Merchant signs in or reactivates during a notice period, inactivity deletion is canceled.

14. Illegal or Fraudulent Activity

Illegal or fraudulent use is a full stop. HonorBox may immediately suspend, terminate, or disable access for illegal activity, fraud, facilitating unlawful transactions, serious abuse, or serious security threats. The voluntary 7-day deletion grace period does not apply to enforcement termination. Records may be preserved for investigation, fraud prevention, legal process, chargebacks, payment disputes, or applicable law.

15. Ordinary Terms Violations

For non-illegal/non-fraud violations, HonorBox may warn, allow a reasonable opportunity to cure where appropriate, temporarily suspend access when necessary to protect HonorBox, customers, payment systems, or others, and terminate for serious or repeated violations. Immediate action may be taken when reasonably necessary.

16. Prohibited Use

You may not use HonorBox for illegal goods/services, fraudulent or deceptive activity, unlawful conduct, or activity prohibited by applicable payment/service providers. Applicable Stripe and network restrictions are incorporated by reference and may change.

17. Merchant Responsibilities

Merchant is responsible for products/services, pricing, inventory, taxes, permits/licenses, customer obligations, product legality, business-law compliance, returns, customer disputes, chargebacks, and supporting dispute evidence.

18. Customer Disputes and Chargebacks

Merchant remains responsible for customer complaints, returns, chargebacks, and underlying goods/services. HonorBox may provide available software/data to assist but does not assume the Merchant’s seller liability.

19. Stripe Payments and Honor Payments

Eligible card/wallet payments are processed by Stripe. Optional Cash App/PayPal/Venmo Honor options are confirmation-based: HonorBox does not electronically verify external transfers and is not integrated with those providers’ payment APIs. Merchants enable Honor options voluntarily, reconcile externally, and must refund Honor payments through the original external service; HonorBox cannot electronically return those funds.

20. AI and Professional Advice Disclaimer

Business Advisor, AI insights, receipt extraction, and sales/expense reporting are business-management tools. They do not provide legal, tax, accounting, investment, or professional financial advice. Merchants remain responsible for business decisions, books/records, tax filings, and consulting qualified professionals where appropriate. Receipt OCR is informational assistance, not authoritative accounting.

21. Merchant Content License

Merchant retains ownership of logos, product images, business information, QR materials, Design Studio content, and other Merchant-provided content. Merchant grants HonorBox a limited license to store, host, process, reproduce, resize, display, transmit, and otherwise handle that content solely as needed to operate HonorBox. Merchant must have rights to uploaded content.

22. HonorBox Intellectual Property

HonorBox platform IP (software, original interface, HonorBox branding, original designs, documentation, and proprietary platform materials) remains owned by Marcus Coffman DBA HonorBox or applicable licensors. Subscription grants a limited right to use HonorBox and does not transfer ownership. Third-party trademarks, SDKs, and technology remain owned by their respective owners.

23. Service Availability

HonorBox will make reasonable efforts to provide the Services but does not guarantee 100% uptime, uninterrupted availability, or completely error-free operation. Interruptions may occur due to maintenance, internet/device issues, third-party providers, infrastructure outages, or circumstances outside reasonable control.

24. Force Majeure

HonorBox is not liable for failure or delay caused by events outside its reasonable control, including major infrastructure outages, natural disasters, government actions, widespread telecommunications failures, and similar qualifying circumstances, to the extent such events prevent performance.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONORBOX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONORBOX AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY MERCHANT TO HONORBOX DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. LEGALLY REQUIRED EXCEPTIONS APPLY.

26. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules that would require another jurisdiction’s law, except where mandatory law provides otherwise. Subject to mandatory law, venue for disputes lies in courts of competent jurisdiction in the State of Tennessee.

27. Policy Changes

For material Terms/Privacy changes, HonorBox will provide in-app notice and email notice. Where renewed acceptance is appropriate, Merchants may be required to accept updated Terms before continuing. Minor/non-material changes need not interrupt service. Current documents show version and effective date.

28. Communications

Current HonorBox emails are transactional/service-related (account, billing, security, deletion, material legal-policy changes, and service notices). HonorBox does not currently operate a marketing/promotional email program. Any future marketing will require updated disclosures and appropriate consent/unsubscribe mechanisms.
